1. Agreement to Terms
By engaging Lexis Sapphire Studio ("we," "us," "our," or "Company") for website design and development services, you ("Client," "you," or "your") agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.
2. Services Offered
Lexis Sapphire Studio offers the following website packages:
- Starter Website: $297 one-time setup fee + $39/month (optional Website Care Plan)
- Growth Website: $997 one-time setup fee + $197/month Website Care Plan (included first month)
- Authority Website: $2,500 one-time setup fee + $297/month Website Care Plan (included first month)
- E-Commerce Website: $3,500 one-time setup fee + $397/month Website Care Plan (included first month)
All packages include:
- Custom website design and development
- Free domain for the first year
- Professional hosting and SSL security
- Free updates and revisions during month 1
- Mobile-responsive design
- Basic SEO optimization
3. Website Care Plan
The Website Care Plan is an optional ongoing support service (except for Growth, Authority, and E-Commerce packages where it's included). The Care Plan includes:
- Monthly website updates and maintenance
- Security monitoring and SSL certificate renewal
- Performance optimization
- Backup management
- Up to 4 hours of updates per month (varies by plan)
Website Care Plan pricing:
- Starter Plan: $39/month (optional)
- Growth Plan: $197/month (included)
- Authority Plan: $297/month (included)
- E-Commerce Plan: $397/month (included)
4. Payment Terms
Setup Fee: The one-time setup fee is due upon project initiation. We accept credit/debit cards, PayPal, Affirm, and Klarna for flexible payment options.
Website Care Plan: Monthly subscription charges begin on the 1st of the following month after project launch. Recurring charges will be billed automatically to your payment method on file.
Payment Failure: If payment fails, we will attempt to retry within 3 business days. If payment continues to fail, we reserve the right to suspend website services until payment is received.
5. Refund Policy
30-Day Money-Back Guarantee: If you are not satisfied with your website within 30 days of launch, we will provide a full refund of the setup fee. This guarantee applies only if the website meets the agreed-upon specifications.
Website Care Plan Cancellation: You may cancel your Website Care Plan at any time with 30 days' written notice. No refunds will be issued for partial months. Cancellation takes effect on the first day of the following billing cycle.
Non-Refundable Items: Domain registration fees and third-party service fees (e.g., SSL certificates, hosting) are non-refundable once purchased.
6. Website Ownership & Intellectual Property
Client Ownership: Upon full payment of the setup fee, the Client owns the website design, content, and all custom code created specifically for the project.
Third-Party Components: The Client acknowledges that the website may include third-party components, plugins, and libraries that are subject to their respective licenses. The Client agrees to comply with all applicable third-party license terms.
Lexis Sapphire IP: Lexis Sapphire Studio retains ownership of all pre-existing tools, frameworks, templates, and methodologies used in the development process.
7. Client Responsibilities
The Client agrees to:
- Provide accurate business information, content, and branding materials
- Respond to design requests and feedback within 5 business days
- Ensure all content provided does not infringe on third-party rights
- Maintain secure passwords and access credentials
- Comply with all applicable laws and regulations
8. Project Timeline & Delays
Lexis Sapphire Studio aims to complete projects within 7-14 business days for Starter packages and 14-21 business days for larger packages. Timelines may be extended due to:
- Delayed Client feedback or content delivery
- Scope changes requested by the Client
- Third-party service delays (domain registration, hosting setup)
- Technical issues beyond our control
We will communicate any delays promptly and provide updated timelines.
9. Limitation of Liability
To the maximum extent permitted by law, Lexis Sapphire Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the website or services, including but not limited to loss of revenue, data, or business opportunities.
Our total liability for any claim shall not exceed the amount paid by the Client in the 12 months preceding the claim.
10. Disclaimer of Warranties
The website and services are provided "as is" without warranties of any kind, express or implied. Lexis Sapphire Studio does not warrant that the website will be error-free, uninterrupted, or meet your specific business requirements. The Client assumes all responsibility for evaluating the website's suitability for their needs.
11. Termination
By the Client: The Client may terminate the Website Care Plan with 30 days' written notice. Termination of the setup service is not permitted after work has begun, except in cases of material breach by Lexis Sapphire Studio.
By Lexis Sapphire Studio: We reserve the right to terminate services if the Client fails to pay, violates these terms, or engages in illegal activity. Termination will be effective immediately upon written notice.
12. Confidentiality
Both parties agree to maintain the confidentiality of sensitive business information shared during the project. This includes business strategies, financial data, and proprietary content. This obligation survives termination of the agreement.
13. Governing Law
These Terms of Service are governed by the laws of the State of Michigan, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in Wayne County, Michigan.
14. Changes to Terms
Lexis Sapphire Studio reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to the website. Continued use of our services constitutes acceptance of the updated terms.
